1. Acceptance of Terms
By accessing https://sstus.net (the “Website”), engaging Shri Sai Technology (“SST”, “we”, “our”, or “us”) for services, or using any platform or system provided by SST, you (“you”, “Client”, or “User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our services or Website.
These Terms apply alongside our Privacy Policy, which is incorporated by reference.
2. Services
SST provides digital marketing services, including but not limited to:
- Search engine optimization (SEO)
- Content creation, automation, and distribution
- Multi-channel social media cross-posting across platforms such as LinkedIn, Meta (Facebook and Instagram), Tumblr, and similar
- Analytics, reporting, and performance measurement
- Custom integrations with client content management and publishing platforms
Specific service deliverables, fees, timelines, performance metrics, and additional terms applicable to particular engagements will be set out in a separate Statement of Work or service agreement signed between SST and the Client.
3. Eligibility
You may engage SST's services only if you:
- Are at least 18 years of age (or the age of legal majority in your jurisdiction)
- Are legally authorized to enter into a binding agreement on behalf of yourself or the entity you represent
- Have the legal right to grant SST access to any third-party platforms, accounts, and assets you authorize us to manage on your behalf
4. Client Responsibilities
When you engage SST's services, you agree to:
- Provide accurate, complete, and current information about your business and authorized contacts
- Grant SST the permissions reasonably necessary to deliver the services, including administrative or editor roles on relevant social media pages, access to publishing APIs, and similar credentials
- Promptly review content prepared by SST before publication, unless you have explicitly authorized auto-publication via our editorial dashboard
- Retain ownership of, and ensure you have the necessary rights to, all content, materials, trademarks, and assets you provide to SST or authorize SST to publish on your behalf
- Notify SST promptly of changes to authorized accounts, contact persons, payment methods, or material business circumstances
- Pay all agreed fees in accordance with the schedule in your service agreement
5. SST Responsibilities
SST will:
- Perform services with reasonable skill and care
- Use commercially reasonable efforts to deliver services within agreed timelines
- Protect Client confidential information per Section 8
- Comply with applicable laws and the published policies of the third-party platforms we use to deliver services
- Promptly notify Client of material issues affecting service delivery
6. Acceptable Use
You agree not to use SST's services to:
- Publish content that is unlawful, defamatory, harassing, fraudulent, infringing, obscene, hateful, or otherwise objectionable
- Violate the terms of service, content policies, or community guidelines of any third-party platform used to deliver the services (including but not limited to LinkedIn, Meta, Tumblr, and search engine providers)
- Distribute malware, spam, phishing material, or other harmful technology
- Misrepresent your identity, affiliation, or authorization to publish on behalf of any person or entity
- Engage in deceptive search engine practices that violate published search engine quality guidelines
- Interfere with or attempt to gain unauthorized access to our systems, accounts, or other clients' data
- Use our services in any way that could damage, disable, overburden, or impair our systems
We reserve the right to refuse, edit, decline to publish, or remove content that we reasonably believe violates these Terms or applicable platform policies, with or without prior notice.
7. Intellectual Property
7.1 Client content
Content you provide or authorize SST to create on your behalf (“Client Content”) remains your property. You grant SST a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, and distribute Client Content solely as necessary to deliver the services and for the duration of the engagement.
7.2 SST property
Our Website, software, dashboards, tools, methodologies, templates, workflows, and other materials owned or developed by SST (“SST Property”) remain our exclusive property. You receive no rights in SST Property beyond a limited, non-exclusive, non-transferable license to use the outputs of our services in connection with your own business activities for the duration of the engagement.
7.3 Third-party content
You are responsible for ensuring you have the necessary rights, permissions, and licenses for all content you provide to SST or authorize us to publish, including images, videos, text, trademarks, music, and any third-party material.
7.4 Feedback
If you provide feedback, suggestions, or ideas about our services, you grant SST a perpetual, irrevocable, royalty-free license to use that feedback without restriction.
8. Confidentiality
Each party agrees to keep confidential and not disclose to any third party any non-public information learned about the other party in connection with the services (“Confidential Information”), except:
- Disclosures required by law, regulation, or valid legal process
- Disclosures to professional advisors bound by confidentiality obligations
- Disclosures to subcontractors and service providers necessary to deliver services, who are themselves bound by confidentiality obligations at least as protective as these Terms
This obligation survives termination of these Terms for a period of three (3) years, or longer if required by applicable law.
9. Fees and Payment
Fees, billing frequency, payment methods, and refund terms are set out in your Statement of Work or service agreement.
Unless otherwise agreed in writing:
- Invoices are due within thirty (30) days of issuance
- Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law
- SST may suspend services for material non-payment after providing reasonable written notice
- Fees are exclusive of taxes (including VAT, GST, and similar), which are your responsibility unless your service agreement specifies otherwise
10. Term and Termination
These Terms apply for as long as you use SST's services or Website. Your service engagement begins and ends as specified in your Statement of Work.
Either party may terminate the engagement:
- For convenience, with written notice as specified in the service agreement (default: 30 days)
- For material breach by the other party that is not cured within thirty (30) days of written notice
- Immediately,in the event of the other party's insolvency, bankruptcy, dissolution, or cessation of business
On termination:
- You remain liable for fees accrued before termination
- SST will return or delete Client Content in our possession within a reasonable period, subject to legal retention requirements
- Sections that by their nature should survive (Confidentiality, Intellectual Property, Indemnification, Limitations of Liability, Governing Law) will survive termination
11. Disclaimers
SST's services and Website are provided “as is” and “as available.” To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or trade usage.
We do not warrant that:
- Services or the Website will be uninterrupted, error-free, or completely secure
- Third-party platforms (such as LinkedIn, Meta, Tumblr, or search engines) will be available, will perform as expected, or will not change their terms or capabilities
- Search engine rankings, social media engagement, traffic levels, or any other marketing outcome will reach any specific level
- Any specific business or financial result will be achieved
12. Limitation of Liability
To the maximum extent permitted by law:
- Neither party will be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunity, business interruption, or loss of data, regardless of the legal theory
- SST's total cumulative liability arising from or related to these Terms or our services will not exceed the total fees paid by you to SST in the twelve (12) months preceding the event giving rise to the claim
These limitations apply regardless of the legal theory of liability, including contract, tort (including negligence), strict liability, or otherwise, and even if either party has been advised of the possibility of such damages.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
13. Indemnification
You agree to indemnify, defend, and hold harmless SST, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your Client Content
- Your use of our services in violation of these Terms or applicable law
- Your breach of these Terms or any representations or warranties made by you
- Your infringement or alleged infringement of any third-party intellectual property or other rights
SST will indemnify you against third-party claims that our services, as delivered by us, infringe valid intellectual property rights enforceable in your jurisdiction, provided you (a) notify us promptly in writing, (b) allow us to control the defense and settlement, and (c) reasonably cooperate. SST's obligations under this Section will not apply to claims arising from Client Content or your modifications to our services.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of [Insert jurisdiction — e.g., the Republic of India / United Kingdom / Delaware, USA] without regard to its conflict-of-law principles.
Any dispute arising from or related to these Terms will be resolved as follows:
- Good-faith negotiation between the parties for at least thirty (30) days

15. Modifications
We may modify these Terms from time to time. When we make material changes, we will:
- Update the “Last Updated” date at the top of these Terms
- Notify clients with active service engagements via email at least thirty (30) days before the changes take effect
- Continued use of our services after the changes take effect constitutes your acceptance
If you do not agree to a modification, your sole remedy is to discontinue use of our services after providing notice in accordance with your service agreement.
16. Miscellaneous
- Entire agreement: These Terms, together with any applicable Statement of Work and our Privacy Policy, constitute the entire agreement between you and SST regarding our services and supersede all prior agreements on the subject.
- Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
- No waiver: Failure to enforce any right or provision is not a waiver of that right.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
- Force majeure: Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, acts of war or terrorism, government actions, internet or telecommunications failures, or third-party platform outages.
- Notices: Notices must be in writing and sent to the contact addresses specified in your service agreement, or to sstsupport@sstglobal.net for SST.
- No third-party beneficiaries: These Terms create no rights for any third party.
- Headings: Headings are for convenience only and do not affect interpretation.
- Counterparts and electronic signatures: These Terms may be executed in counterparts, including electronically, each of which is an original.
